1. About BrightCortex

By accessing our website or engaging our services, you (“Client”) agree to be bound by these Terms & Conditions.

2. Nature of Business

BrightCortex operates as a digital and technology service provider specialising in AI automation, software solutions, and website development.

Our services involve the design, development, configuration, and integration of digital systems, including AI-powered tools such as chatbots, voice assistants, and workflow automation solutions.

The Client acknowledges and agrees that:

  • all services provided are technical, consultative, and implementation-based in nature
  • BrightCortex does not guarantee specific commercial, financial, or operational outcomes
  • the effectiveness of any solution depends on factors outside our control, including but not limited to the Client’s business model, market conditions, user behaviour, and internal processes
  • our services do not constitute financial, legal, or professional advice, and should not be relied upon as such

All decisions made based on our services or recommendations remain the sole responsibility of the Client.

3. Services

We provide services including, but not limited to:

  • AI chatbot systems
  • AI voice automation solutions
  • website design and development
  • workflow and business automation
  • consulting and technical support

All services are delivered in accordance with an agreed scope prior to commencement.

4. Project Agreement

A binding agreement is formed when:

  • a proposal or quotation is accepted, or
  • payment (full or partial) is made

The agreed scope, pricing, and timelines form part of the contract.

5. Fees and Payment

  • Projects may require upfront or milestone-based payments
  • Work will not commence until initial payment is received
  • Late or missed payments may result in suspension of services
  • All payments are non-refundable once work has commenced

6. Client Responsibilities

The Client agrees to:

  • provide accurate, complete, and timely information
  • provide access to necessary systems, platforms, and accounts
  • respond promptly to communication and requests

Failure to do so may result in delays or additional charges.

7. Scope Changes

Any work requested outside the agreed scope:

  • will be treated as additional work
  • may incur additional charges
  • may affect delivery timelines

8. Use of Subcontractors and Third-Party Providers

BrightCortex reserves the right to engage subcontractors, external developers, or third-party providers to deliver part or all of the services.

This may include service providers located outside the United Kingdom.

We ensure appropriate confidentiality and data protection measures are in place. BrightCortex remains responsible for overall service delivery.

9. Third-Party Tools and Platforms

Our services may involve third-party software, platforms, or tools.

  • We are not responsible for the performance, availability, or security of such services
  • Clients are responsible for any ongoing subscription or usage costs unless otherwise agreed

10. Intellectual Property

  • Ownership of final deliverables transfers to the Client upon full payment
  • BrightCortex retains the right to use non-confidential work for portfolio and marketing purposes
  • Any third-party components remain subject to their respective licences

11. Delivery and Timelines

All timelines are estimates and not guaranteed.

We are not responsible for delays caused by:

  • client-side delays
  • third-party services
  • technical issues beyond our control

12. No Guarantee of Results

BrightCortex provides services using reasonable skill, care, and professional expertise. However, the Client acknowledges that we do not make any representations, warranties, or guarantees regarding specific outcomes or results.

This includes, but is not limited to:

  • revenue generation or profit increase
  • lead generation or conversion rates
  • business growth or operational performance
  • accuracy, completeness, or reliability of AI-generated outputs

The Client further acknowledges that:

  • AI systems and automation tools may produce variable or unpredictable results
  • external factors beyond our control may impact performance and outcomes

Accordingly, BrightCortex shall not be held liable for:

  • failure to achieve expected results
  • any financial loss or business impact
  • reliance on outputs generated by AI systems or automated processes

All services are provided on an “as is” and “as available” basis, without any guarantees of performance or results.

13. Technology, AI and Automation Disclaimer

BrightCortex provides a range of digital services, including website development, AI-powered systems, and business automation solutions.

The Client acknowledges that all digital systems and technologies, including websites, AI tools, and automated processes, may be affected by technical limitations and potential risks.

This includes, but is not limited to:

  • software bugs, errors, or unexpected behaviour
  • system downtime or technical failures
  • inaccuracies or inconsistencies in AI-generated outputs
  • integration issues with third-party platforms
  • performance variations depending on user behaviour, hosting environment, or external systems

While BrightCortex uses reasonable skill and care in delivering services, we do not guarantee that:

  • websites or systems will be error-free or uninterrupted
  • AI or automation outputs will be fully accurate or reliable
  • systems will operate without compatibility or performance issues in all environments

The Client is responsible for:

  • testing and reviewing delivered systems before full use
  • maintaining appropriate backups and security measures
  • ensuring proper use and oversight of all systems and outputs

To the fullest extent permitted by law, BrightCortex shall not be liable for:

  • any errors, interruptions, or failures in digital systems
  • loss of data, revenue, or business arising from system use
  • decisions made based on AI outputs or automated processes
  • issues caused by third-party services, hosting providers, or integrations

All services and deliverables are provided on an “as is” and “as available” basis, without warranties of any kind.

14. Business Risk Disclaimer

The Client acknowledges that all business activities involve inherent risk.

BrightCortex shall not be responsible for any business, financial, or operational decisions made based on the use of our services, systems, or recommendations.

15. Limitation of Liability

To the fullest extent permitted by law:

  • BrightCortex shall not be liable for any indirect, incidental, or consequential losses
  • This includes loss of profit, revenue, data, or business opportunities
  • Total liability shall not exceed the amount paid by the Client for the services

16. Support and Maintenance

Support services are provided only where agreed.

Additional support, updates, or maintenance may be subject to separate fees.

17. Termination

We reserve the right to suspend or terminate services if:

  • payments are not made
  • these Terms are breached

Clients may terminate with written notice, but payment for completed work remains due.

18. Force Majeure

BrightCortex shall not be liable for any delay or failure to perform due to events beyond reasonable control, including but not limited to technical failures, third-party outages, or external disruptions.

19. Changes to Terms

We may update these Terms & Conditions at any time. Continued use of our services indicates acceptance of the updated terms.

20. Governing Law

These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the jurisdiction of UK courts.
